MSMENXT MICRO Terms of Use
These terms govern authorised access to the MSMENXT MICRO business workspace.
1. Parties and authority
These Terms are between Zertical Private Limited and the customer company. Each individual user confirms that they are authorised by that company. Selecting the unchecked acceptance box and signing in creates an electronic record of agreement.
2. Service
MSMENXT MICRO provides company-isolated billing, GST, purchasing, returns, stock, master-data and reporting functions according to the purchased plan and enabled features. It has no generative-AI feature. Optional deterministic OCR may suggest text from a PDF or image in the user’s browser; the user must correct and approve it before any business record is saved. Features marked as unavailable or canary are not production commitments.
3. Accounts and acceptable use
Logins are personal and must not be shared. Only one active session is permitted per user. The customer must keep account details accurate, grant access only to authorised people, have authority to enter personal and business data, and verify material figures before relying on them.
Users must not misuse the service, bypass access controls, introduce malicious code, probe another tenant, scrape the service, reverse engineer protected software, or infringe another person’s rights.
4. Fees and refunds
Plans, purchased user limits, billing periods and fees are shown in the applicable order or invoice. A refund request may be made within 72 hours after payment or service activation. After that period, fees are non-refundable except where the order, mandatory law, duplicate payment, or failure to activate requires otherwise.
5. Customer records and outputs
The customer remains responsible for its business records and decisions. Reports and calculations depend on entered data and must be reviewed. MSMENXT MICRO does not make payments, file taxes, communicate with third parties, or take external action unless separately contracted with explicit controls and approvals.
6. Privacy and security
The Privacy Policy, Consent Notice, Data Processing Addendum, Subprocessor Register and Retention and Security form part of these Terms.
7. Suspension, termination and deletion
Access may be suspended for security risk, unlawful use, non-payment or material breach. A customer may request export or deletion. A deletion request blocks company access and requires independently approved, verified execution against a complete manifest; it is not an immediate erasure promise. Legally required records may be retained for the applicable period.
8. Intellectual property
Zertical Private Limited retains rights in the software, designs, workflows, calculations, database design and security controls. The customer retains rights in its data. No right is granted to copy protected product logic or defeat technical controls.
9. Availability and liability
We use reasonable care but do not promise uninterrupted availability. To the maximum extent permitted by law, aggregate contractual liability is limited to fees paid for the affected month. This does not exclude statutory rights or liability that cannot legally be limited.
10. Governing law
Indian law applies. Subject to mandatory dispute and grievance rights, courts at Ahmedabad, Gujarat have jurisdiction.
